About the role

About Nebius

Nebius is leading a new era in cloud infrastructure for the global AI economy. We are building a full-stack AI cloud platform that supports developers and enterprises from data and model training through to production deployment, without the cost and complexity of building large in-house AI/ML infrastructure.

Built by engineers, for engineers. From large-scale GPU orchestration to inference optimization, we own the hard problems across compute, storage, networking and applied AI.

Listed on Nasdaq (NBIS) and headquartered in Amsterdam, we have a global footprint with R&D hubs across Europe, the UK, North America and Israel. Our team of 1,500+ includes hundreds of engineers with deep expertise across hardware, software and AI R&D.

The role

Nebius is seeking an experienced and highly organized Senior Corporate Paralegal to join the Corporate & Governance legal team and manage the day-to-day governance and maintenance of our international group structure.

The role will support the full lifecycle of our subsidiaries, from incorporation and ongoing compliance to restructurings and liquidations. You will also support Nebius’s rapid international expansion by coordinating the establishment of entities in new countries and ensuring that our corporate records, governance processes and entity-management systems remain accurate and scalable.

Working closely with Legal, Finance, Tax, Compliance, HR and external advisors, you will operate with a high degree of autonomy in a fast-moving international environment.

Your responsibilities will include

  • Manage the corporate governance and ongoing maintenance of Nebius’s subsidiaries across multiple jurisdictions.
  • Coordinate the incorporation of entities in new countries, including working with internal teams, local counsel and corporate service providers.
  • Prepare and coordinate corporate decision-making, powers of attorney, director and officer appointments, constitutional amendments and other corporate documentation.
  • Maintain accurate corporate records, organizational charts, entity information and governance calendars.
  • Support restructurings, financings, acquisitions and other corporate projects, including due diligence, approvals, signing and closing processes.
  • Respond to corporate information, KYC and document requests from internal teams, banks, auditors, regulators and other external parties.
  • Lead corporate-law workstreams for entry into new jurisdictions by identifying required local documents, policies, registrations and decision points; instructing and managing external counsel for scope, quality and cost; and translating local advice into practical implementation steps.
  • Build and maintain scalable entity-management infrastructure, including global and local templates, checklists, country playbooks, launch checklists and approval workflows to support the continued growth of Nebius.
  • Support the Company Secretary with a variety of governance matters relating to Nebius Group N.V. and its principal subsidiaries.

We expect you to have

  • A relevant legal, paralegal or company-secretarial qualification, with a strong specialization in corporate law and/or corporate governance.
  • At least 7 years of relevant experience in corporate law or corporate governance, subsidiary management or corporate legal administration, gained in-house, at a law firm or with a corporate services provider.
  • Hands-on experience managing legal entities and corporate requirements across multiple jurisdictions.
  • Experience preparing corporate approvals and maintaining corporate records, and compliance calendars.
  • Experience with entity-management platforms, electronic-signature tools and corporate document-management systems.
  • Strong written and spoken English. Dutch language skills would be an advantage.
  • Excellent attention to detail, sound judgement and a proactive, ownership-driven approach.
  • The ability to work independently and collaborate effectively with internal stakeholders and external advisors.
  • The adaptability to work effectively in a fast-growing international business where structures and priorities continue to evolve.

It will be an added bonus if you have

  • Prior in-house corporate or corporate-governance experience in an international organization, ideally in a fast-growing, cross-border business.
  • Experience instructing and working with external counsel in multiple jurisdictions, including managing scope, budget, quality and consistency of advice.
  • Experience supporting a listed company or major corporate transactions.
  • Experience establishing and maintaining entities across Europe, the United States and/or the Asia-Pacific region.

Benefits & Perks

  • Competitive compensation
  • Career growth and learning opportunities
  • Flexibility and ownership
  • Collaborative and innovative culture
  • Opportunity to work on impactful AI projects
  • International environment and talented teams
