About the role

Overview

Fleet Data Centers is seeking a business-minded Vice President, Corporate Counsel to lead legal support for complex real estate transactions that enable Fleet’s data center development and operations. Reporting to Fleet’s General Counsel, this senior, hands-on attorney will partner closely with teams across the business to structure, negotiate, and execute strategic real estate matters from early site control through development and operation.

The role will also support Fleet’s commercial management team on customer transactions, including hyperscale and enterprise data center leases and related agreements as well as procurement. The successful candidate will bring strong transactional judgment, the ability to work independently with sophisticated counterparties, and a practical approach to helping projects move forward.

How you’ll make a difference

Lead complex real estate transactions

  • Lead and advise on complex real estate transactions supporting Fleet’s data center portfolio, including site acquisitions and dispositions, purchase and sale agreements, options, ground leases, easements, and other site-control arrangements.
  • Advise on transaction structure, diligence, risk allocation, and execution strategy, coordinating title, survey, land-use, permitting, and other real estate workstreams with internal partners and outside counsel.
  • Draft, review, and negotiate joint venture, development, supply chain, and related project agreements, as appropriate to the transaction.
  • Partner with Development, Supply Chain, Finance, and Operations teams to align legal strategy with project requirements, schedules, delivery realities, and business objectives.
  • Identify and manage legal risks across transactions, communicate practical options and tradeoffs, and help drive decisions and deals to execution.

Support commercial leasing

  • Partner with the Commercial team on complex customer transactions, including hyperscale and enterprise data center leases, service agreements, amendments, change orders, and ancillary site or customer documents.
  • Draft and negotiate legal terms, including remedies, force majeure, change of control, security and audit rights, insurance, waiver of subrogation, indemnification, confidentiality, service levels, and related operational provisions.
  • Support deal structuring and negotiations with customers, translating Fleet’s legal positions into workable agreements that reflect operational and commercial realities.

Build effective legal processes and provide broader support

  • Develop and maintain scalable templates, playbooks, clause guidance, fallback positions, approval pathways, and negotiation processes that improve consistency and execution speed.
  • Manage outside counsel effectively, including scoping assignments, supervising work, managing budgets, and delivering practical, timely advice.
  • Support other high-priority legal matters as needed, which may include corporate, governance, compliance, risk management, and key vendor or operational agreements.

What we’re looking for

Qualifications and experience

  • JD. from an accredited law school and active bar membership in at least one U.S. jurisdiction (or ability to register as in-house counsel, as applicable).
  • 10+ years of relevant legal experience, including a blend of top tier law firm and in-house experience.
  • Substantial experience leading and negotiating complex commercial real estate transactions. Experience with data center, digital infrastructure, energy, or other large-scale development projects is strongly preferred.
  • Experience supporting commercial leasing transactions; direct experience with hyperscale or enterprise data center leases is a plus.
  • Experience managing multi-jurisdictional matters and coordinating local counsel.

Skills and approach

  • Strong transactional drafting, negotiation, and deal-structuring skills, with sound judgment on legal and commercial risk.
  • Ability to run sophisticated transactions with minimal oversight, manage competing priorities, and deliver high-quality work quickly.
  • Practical, business-oriented communication style and the ability to build trusted relationships across functions and with external counterparties.
  • Experience building legal processes and working with contract lifecycle management tools; CLM exposure is a plus.
  • High standards of professional integrity, accountability, and discretion.
