About the role

At Altarum, we’re driven by a simple but powerful mission: improving the health of individuals with fewer financial resources and populations underserved by the healthcare system. We partner with federal and state agencies to design and deliver solutions that make a real, measurable difference.

About the Role

The Office of the General Counsel provides strategic legal support that promotes the effective stewardship of Altarum’s resources. It helps the organization assess, plan for, and mitigate financial and operational risk to protect its long-term financial health and flexibility.

In this role, you’ll work closely with the General Counsel to support contracts and procurement, corporate governance and Board operations, records and regulatory compliance, and the corporate insurance program. You’ll review agreements, conduct legal research, coordinate Board activities, maintain corporate records and licenses, and help keep our policies and compliance programs current.

This is a great fit if you’re an experienced paralegal with at least five years of experience who enjoys variety, takes ownership of detail-oriented work, and handles confidential information with discretion. Experience in some of these areas is preferred, but you don’t need experience in all of them. We’re willing to train as needed.

What You'll Do

Legal and Contract Support

  • Support the General Counsel with complex transactional matters.
  • Perform legal research, analyze the results to support decision-making, and summarize findings for review.
  • Monitor legal and regulatory developments that affect Altarum’s operations and governance, and communicate their potential impact.
  • Oversee and monitor regulatory compliance initiatives.
  • Draft and review corporate policies and procedures, and recommend new ones as needed.
  • Review agreements and contracts, identify issues and risks, and recommend revisions for review.
  • Support procurement activities, including review of vendor and subcontractor agreements and related documentation.
  • Promote General Counsel initiatives by developing and delivering employee communications on their objectives, purposes, and available resources.
  • Provide day-to-day support to the General Counsel as needed.
  • Corporate Governance and Board Support
  • Prepare and coordinate Board and Committee meeting materials and supporting documentation.
  • Attend meetings and prepare Board and Committee minutes.
  • Oversee and maintain BoardEffect, our electronic Board portal.
  • Coordinate Board meeting logistics, including location, meals, travel, and hotel accommodations.
  • Poll and schedule Board and Committee meetings.
  • Maintain the calendar of Board and Committee tasks, and ensure compliance with it.
  • Maintain trustee, officer, and other governance handbooks.
  • Process quarterly Board retainer fees and trustee travel expense reimbursement requests.
  • Support Board housekeeping and compliance activities.
  • Maintain corporate templates and forms.
  • Records, Licensing, and Regulatory Compliance
  • Digitize, organize, and maintain the General Counsel’s records.
  • Implement the Record Retention policy and program, and maintain the Record Retention and Disposition Schedule in consultation with departments across the organization.
  • Manage state qualification annual reports and business licenses for all entities.
  • Manage annual charitable license renewals.
  • Support other recurring disclosures, state tax exemption recognition, scientific misconduct matters, and Human Subject Research certification.
  • Insurance and Risk Management
  • Oversee, maintain, and administer the corporate liability insurance program.
  • Gather data, prepare applications and renewals, and implement and track insurance policies.
  • Obtain, maintain, track, and provide certificates of insurance.
  • Review insurance provisions in contracts, agreements, and proposals, and give recommendations to legal operations.
  • Manage workers’ compensation claims.
  • Additional Responsibilities
  • Oversee and maintain electronic platforms.
  • Perform other duties as assigned.

What You'll Bring

  • A minimum of five years of relevant experience.
  • Licensure as a notary public, or eligibility and willingness to become licensed.
  • Proficiency with Microsoft Office, including Word, Excel, and PowerPoint.
  • Excellent organizational, analytical, communication, and interpersonal skills, with strong attention to detail.
  • The ability to prioritize and complete projects effectively and efficiently.
  • The ability to handle confidential and sensitive information with discretion.
  • A keen sense of ethics, integrity, and professionalism.
  • A passion for and commitment to Altarum’s mission, vision, and values.

Preferred Qualifications

  • Experience in a corporate legal department or supporting multiple attorneys.
  • Experience reviewing contracts and agreements and supporting procurement or vendor management.
  • Experience with corporate governance and Board support, including electronic Board portals.
  • Experience with insurance administration or records management.
  • Experience with project planning or task tracking in an electronic platform.
  • Nonprofit experience.
